Terms and Conditions of Sale
This sales transaction and all accompanying documents (quotes, order confirmations, invoices) are subject to the following Terms and Conditions of Sale. Conflicts between these terms and those in an invoice, order confirmation, or quotation will be resolved in favor of the latter documents. Any additional or different terms proposed by the purchaser are rejected unless explicitly accepted in writing within five (5) days at [email protected].
- Confirmation
All purchase orders require written acceptance by Interflon USA. - Deliveries
All deliveries are FOB Destination Prepay and Add. Partial deliveries allowed. Delivery dates are estimates. Risk of loss passes upon arrival. Purchaser is responsible for hazardous material handling and disposal. - Pricing and Charges
Prices may change without notice. Prices exclude shipping and taxes. Surcharges or restrictions may apply. Shipping is based on flat-rate weight. - Terms of Payment
Payment due net 30 days. Late payments incur 1.5% monthly interest. Collection fees may apply. - Claims and Return of Products
Claims must be submitted within 30 days. Returns require RMA authorization. A 15% restocking fee applies (max $100 per container). - Cancellation/Changes
Cancellations require written consent and incur a 15% restocking fee. - Limited Warranty
Interflon USA warrants products meet specifications. All other warranties are disclaimed. Warranty covers replacement or refund. - Limitation and Exclusion of Damages
Liability is limited to the purchase price. No consequential or incidental damages are covered. - Proprietary
Intellectual property belongs to Interflon USA. Purchaser may not copy, reverse-engineer, disclose or misuse proprietary information. - Indemnity
Purchaser must indemnify and defend Interflon USA against claims arising from purchaser’s use, breach, or resale. - Force Majeure
Interflon USA is not liable for delays caused by events beyond reasonable control. - Assignment
Interflon USA may assign obligations; purchaser may not without written permission. - Limitations
Any action must be filed within one (1) year of product delivery. - Hazardous Materials Handling and Disposal
Purchaser is responsible for compliance with all laws and proper disposal. - Safety Data Sheets (SDS)
SDS are provided with product purchases or available upon request. - Compliance
Purchaser must comply with all federal, state, local, and foreign laws, including export and import regulations. - Choice of Law, Forum, Venue, Jurisdiction
U.S. law governs all disputes. U.S. courts have exclusive jurisdiction. Purchaser must cover Interflon USA’s collection and legal costs. - Construction of Agreement
Changes require written agreement. Invalid provisions do not affect remaining terms. This agreement supersedes all prior statements.
Digital Payments
The purchaser authorizes Interflon USA to charge the selected payment method for the specified amount and applicable fees. If the primary method fails, backup methods may be charged. The purchaser is responsible for overdraft fees. Interflon USA is not liable for service delays outside their control. Payment information must be kept accurate and sufficient funds must be available.
